A buddy of mine wants to buy a gun from me, but he doesn't want to have it DROSs'd. I keep telling him that is a unlawful, but he insist on me that there is no law to make this offense a felony. Is he right? Is it just a misdemeanor?

I wont sell it with out going thru a FFL, can someone give the laws that say what it is?

Is he a prohibited person, can't pass the HSC, or is he just afraid of "big brother" knowing he owns a gun?

If it's a long gun, "big brother" only knows THAT he bought it... "he" doesn't know anything about the gun.
If it's a long gun over 50 years old, it can be sold cash and carry.
If it's a handgun, it has to have been made before 1900 to qualify for that exemption.

Regardless....

- selling or transferring a firearm without having the transaction processed through a licensed dealer or law enforcement agency;
- committing any act of collusion relating to a Handgun Safety Certificate.

I only cited the pertinent section... the list of prohibiting misdemeanors is over a page long.
I can't find the exact statute that lists the penalty for an unlicensed transfer, but from the above, it appears that it is indeed merely a misdemeanor (which is what I expected)... but it is a prohibiting misdemeanor. No guns for 10 years after conviction.
This would apply to the buyer and the seller.

Just refuse to sell him the gun. Sell it on the Calguns Private Firearms Sale section to a calgunner who understands and accepts CA gun transfer laws.

Let me guess.... he retired prior to 1991? That's when the law went into effect requiring person-to-person transfers to be handled through an FFL.
