You post here got me thinking. maybe you have a point. If he gets enough people paying the maintenance fees and trying to hang on long enough to get one more class in before throwing in the towel, he may keep things afloat for a very short time until they bail. Then because there were not enough new members close the doors and declare bankruptcy. At that point even if the courts awarded members any compensation he would claim there are only say 5000 members because all the previous members voluntary gave up their memberships.
Who knows? It's hard to figure out a really devious mind.
