As a follow-up to this thread (http://www.calguns.net/calgunforum/showthread.php?t=578831), early in the afternoon on July 25, 2012, I sent my fellow CRPA directors a letter outlining the governance issues discussed at great length in other threads and at SaveCRPA.org. Note that my nonprofit specialty attorney's independent analysis and findings were unsurprisingly consistent with what former director Gene Hoffman and I, among others, have been saying for quite some time now.

Given the number of major structural deficiencies we directors must address posthaste, I have suggested to the Board that we consider tabling all additions and amendments to our Bylaws, et al., that do not go directly towards remedying those deficiencies until such time that we have dispositive counsel (by an experienced nonprofit attorney) holding that our organization's governance is in order and in full compliance with applicable law. Our members deserve nothing less than this board's full attention to these fundamental issues of corporate law and members' rights.

I want to thank the CRPA members for their support of these continuing efforts to improve the organization. It is my sincere hope that the CRPA Board will unanimously commit to giving our organization's structural problems the attention and remedy they unquestionably deserve. I encourage our current, former, and prospective members to join us at the meeting to engage with your CRPA leaders and share your views.

Oh wow. I had no idea it was so bad. If I understand properly aren't board members personally liable if they are aware of such deficiencies but do not remedy them? I mean , once they are aware of problems they can't rely on the protection of the corporate insurance to indemnify illegal behavior, right?

I believe you're correct. Piercing of the corporate veil would be possible, and nobody wants that.

Thanks for a Great Job Brandon! As usual you've been working hard on our behalf and we do appreciate it.

Looks like a well organized plan for rebuilding our CRPA.

The situation is much more clear now that we have some specifics.

Looking froward to a report of the Board Meeting at the end of August.

Trying to remain optimistic.

I continue to be amused at how similarly experts in the non profit field's opinions track my own original reading of the law. The main difference is that the expert thinks the bylaws are even worse than I thought.

What better time for the legal analysis to come back with so many wrongful actions to be righted, presumably under the fiduciary responsibilities of the remaining CRPA BoD's, than right after Tony's message of "Getting Back to Basics" in the latest Firing Line (July 2012, Issue#991, p.16).

Not that there's anything wrong with Maker's Mark but you may have better luck with Bulleit, Knob Creek, Kirkland small batch and the like.

You can be a member having any class of membership that is eligible to vote. See Art. II Sec. 1 here: http://savecrpa.org/files/2012_bylaws_feb.pdf.
